Welcome to Reduc AI. These Terms of Service ("Terms") govern your access to and use of our AI agent creation and automation platform available at www.reducai.com (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Service. We may update these Terms from time to time, and your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Reduc AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Reduc AI is a platform that enables you to:

• Create, customize, and manage AI agents and assistants
• Build AI agents through our step-by-step builder interface
• Improve and optimize existing AI agents with version control
• Deploy AI agents to production via webhooks and integrations
• Connect AI agents to third-party services (Google Sheets, Gmail, etc.) through OAuth integrations
• Use multiple AI models (OpenAI, Anthropic Claude, Google Gemini, xAI Grok) to power your agents
• Test and demo your AI agents before deployment
• Manage voice agents and phone number integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 13 years old (or 16 in the European Union) to create an account

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You agree not to use the Service to:

5. User Content and AI Agents

You retain ownership of any content, prompts, configurations, and AI agents you create using the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and transmit your User Content to provide the Service
• Use your User Content to operate, maintain, and improve the Service
• Back up and restore your User Content
• Comply with legal obligations and enforce these Terms

You are solely responsible for your User Content and represent that you have all necessary rights to use, create, and distribute such content. We are not responsible for the accuracy, legality, or appropriateness of User Content created through the Service.

You acknowledge that AI-generated content may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing, editing, and validating all AI-generated content before using it in production or sharing it with others.

6. Third-Party Services and Integrations

The Service integrates with third-party services, including:

• AI Model Providers: OpenAI, Anthropic, Google (Gemini), xAI (Grok) - Your prompts and data are processed by these providers according to their terms and privacy policies
• Google Services: Google Sheets, Gmail, Google Drive - Accessed through OAuth with your explicit authorization
• Composio: Integration platform that facilitates connections to third-party services
• Payment Processors: Stripe and other payment services for subscription management
• Cloud Infrastructure: Hosting and storage providers (e.g., Supabase, AWS, Google Cloud)

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. We do not endorse or assume any responsibility for third-party services or their content.

7. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your subscription plan
• Provide accurate billing information
• Authorize us to charge your payment method for recurring subscription fees
• Pay applicable taxes as required by law

Subscription Terms: Subscriptions are billed in advance on a recurring basis (monthly or annually). You may cancel your subscription at any time, but you will continue to have access until the end of your current billing period. We do not provide refunds for partial billing periods.

Price Changes: We reserve the right to modify subscription prices at any time. Price changes will apply to subsequent billing cycles. We will provide at least 30 days' notice of any price increases.

Failed Payments: If payment fails, we may suspend or terminate your access to paid features until payment is successfully processed.

8. Intellectual Property Rights

The Service, including its design, features, functionality, and content (excluding User Content), is owned by Reduc AI and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks, logos, or brand names without our written permission
• Reverse engineer or attempt to extract the source code of the Service

We respect the intellectual property rights of others. If you believe your copyright has been infringed, please contact us at support@reducai.com with details of the alleged infringement.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of AI-generated content
• Warranties that the Service will meet your requirements or expectations

AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, validating, and using AI-generated content appropriately. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDUC AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Damages resulting from AI-generated content or third-party services
• Damages resulting from unauthorized access to or alteration of your data
• Any other damages arising out of or in connection with the Service

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Reduc AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including intellectual property or privacy rights)
• Your User Content or AI agents created through the Service
• Any harm caused by AI-generated content you create, distribute, or use

12. Termination

Termination by You: You may terminate your account at any time by contacting us or using account deletion features in the Service.

Termination by Us: We may suspend or terminate your account immediately if you:

• Violate these Terms or our Privacy Policy
• Engage in fraudulent, illegal, or harmful activities
• Fail to pay subscription fees when due
• Use the Service in a manner that poses a risk to us or other users

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though some information may be retained as required by law or for legitimate business purposes. We are not liable for any loss of data resulting from termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)
• Displaying a notice in the Service

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Reduc AI operates, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reduc AI regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

Force Majeure: We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
